Terms of Service

By creating an account, accessing, or using Integrated Assistant's AI-powered virtual receptionist service ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not use the Service.

Integrated Assistant provides an AI-powered virtual receptionist service that answers phone calls on behalf of your business. Our Service includes:

• Automated call answering with natural conversations
• Message taking and delivery via email or SMS
• Appointment scheduling and calendar integration
• Call transcription and intelligent summaries
• Call forwarding and live transfers
• Customizable greetings and business information

We continuously improve our Service and may add, modify, or discontinue features at our discretion with reasonable notice.

To use our Service, you must:

• Provide accurate, current, and complete registration information
• Maintain the security and confidentiality of your account credentials
• Promptly update your information if it changes
• Be at least 18 years of age or the legal age of majority in your jurisdiction
• Have the legal authority to enter into binding contracts

You are solely responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other security breach.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Service for illegal telemarketing, spam, or fraudulent activities
• Transmit harmful, abusive, harassing, or deceptive content
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or attempt to extract the source code of our software
• Use the Service to infringe on intellectual property rights
• Resell or redistribute the Service without our express written consent

We reserve the right to suspend or terminate your account if we reasonably believe you are violating these terms.

We may offer a free trial period for new users. The trial duration and terms will be specified at signup. At the end of your trial period, your account will automatically convert to a paid subscription using your selected plan unless you cancel before the trial ends.

We may require payment information to start a trial to ensure a seamless transition. You will not be charged during the trial period. You may cancel at any time during the trial without charge.

The Service, including all content, features, functionality, software, and documentation, is owned by Integrated Assistant and protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works without our express written permission.

You retain all ownership rights to the content you provide to customize your AI receptionist (such as greetings, FAQs, and business information). By providing this content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and display this content solely for the purpose of providing the Service to you.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or meet your specific requirements. Our AI receptionist is designed to handle common inquiries but may not always respond perfectly to every situation. You are responsible for reviewing call transcripts and following up with callers as needed.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INTEGRATED ASSISTANT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amounts you paid to us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Integrated Assistant, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you provide through the Service

You may terminate your account at any time by canceling your subscription and discontinuing use of the Service.

We may suspend or terminate your account immediately, without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or if required by law. We may also terminate accounts that have been inactive for an extended period.

Upon termination, your right to use the Service will immediately cease. We may delete your data in accordance with our data retention policies, unless retention is required by law or you request data export before termination.

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through a prominent notice within the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may cancel your account.

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction in Australia.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
